Hitos de Grandes Marcas: Chilena Cencosud compra cadena minorista peruana Wong
En el día de hoy desde América Retail queremos mostrarles un hito muy importante en la historia del retail en latinoamérica.
Hace casi 8 años se dio este gran hito en el retail chileno.
El grupo minorista chileno Cencosud anuncia en diciembre del 2007 su ingreso al mercado peruano a través de la adquisición de la operadora de supermercados y centros comerciales del Grupo Wong, en una transacción valuada en 500 millones de dólares y que contempla la transferencia de acciones.
El anuncio permite a Cencosud expandir aún más sus negocios en América Latina y consolidarse como una de las mayores firmas del rubro ante la arremetida de otras minoristas chilenas y extranjeras en la región.
Cencosud, con casa matriz en Chile, tiene unidades de operación en Argentina, Brasil y el próximo año llegará al mercado colombiano.
El grupo minorista chileno, con ventas estimadas en 7.200 millones de dólares para este año, buscaba desde hace algunos años la posibilidad de ingresar al mercado peruano.
“Tras intensas conversaciones, ambas partes llegaron a un completo acuerdo después de analizar la gran complementariedad de intereses de ambas compañías,” dijo Cencosud en un comunicado de prensa.
Desde Lima, Efraín Wong, director de operaciones de la cadena peruana, consideró que la operación multiplicará sus posibilidades de crecimiento en el mercado interno.
“Un mercado como el peruano, que tiene todavía una baja penetración del ‘supermercadismo’ requiere de la suma de esfuerzos de grandes operadores (…) Cencosud tiene una reconocida experiencia en operaciones de ‘retail’ integrado y un liderazgo a nivel latinoamericano,” afirmó Wong en un comunicado.
El acuerdo anunciado contempla la transferencia a Cencosud del 100 por ciento del capital accionario de GSW S.A., empresa operadora de supermercados y centros comerciales en Perú, que posee la familia Wong en un 96,83 por ciento. El 3,27 por ciento restante de la propiedad se comprará al Fondo de Inversión FMO.
La transacción establece, asimismo, que la familia Wong adquirirá 49.750.000 acciones de Cencosud, a un precio de 2.000 pesos por acción proveniente del remanente de acciones emitidas en aumento de capital efecutado en 2005.
Cencosud, controlado por el empresario alemán y nacionalizado chileno Horst Paulmann, dijo que el Grupo Wong “pasará a ser uno de los tres accionistas individuales con mayor participación en la compañía.”
Cencosud agregó que Erasmo Wong continuará ejerciendo la presidencia del Grupo Wong y, además, se integrará al directorio del grupo minorista chileno.
PERU, TERCER PAIS EN UN AÑO
Con el anuncio del arribo a Perú, Cencosud consolidó su internacionalización en el 2007, ya que en menos de un año ingreso a tres países en Sudamérica. Desde mayo, trabaja en el desarrollo del formato de tienda de mejoramiento del hogar en Colombia y, recientemente, selló la compra de la firma de supermercados GBarbosa en Brasil.
“Es otra muestra de la agresividad con que Cencosud está expandiéndose en la región, ingresando a su quinto país,” dijo a Reuters Lorena Pizarro, jefa de estudios de la correduría chilena Cencosud.
El Grupo Wong es el principal negocio de supermercados en Perú, con un 60 por ciento de participación e ingresos anuales por unos 1.000 millones de dólares. Cuenta con una cadena de 48 tiendas entre supermercados, hipermercados, entre otros formatos y una superficie de venta superior a 170.000 metros cuadrados.
La operación prevé, además, el traspaso de activos inmobiliarios tales como centros comerciales y 17 ubicaciones disponibles para el desarrollo de futuros proyectos.
Cencosud tiene fuerte presencia en el negocio de los supermercados, tiendas por departamentos, tiendas de refacción para el hogar y construcción, además de participar en el negocio crediticio, banca de personas. También posee centros comerciales y de entretenimiento, entre otros.
“El ingreso a Perú de la mano de Wong abre importantes opciones a la expansión de los otros formatos de Cencosud,” dijo la minorista chilena.
