Fideicomiso Rica: un paso histórico para el desarrollo del mercado en RD

El gerente general de Inversiones Popular, José Manuel Cuervo, en una entrevista en exclusiva para Revista Mercado habló sobre el primer Fideicomiso de Oferta Pública de los Valores, del cual destaca que es un pasó histórico para el desarrollo del mercado en República Dominicana.
¿La labor de promoción de la operación se dirigirá a todo el público o a inversionistas especializados?
La inversión va dirigida al público general. Esto incluye tanto personas físicas como jurídicas. La idea es que inversionistas en todos los lugares del país puedan comprar los valores de fideicomiso de Pasteurizadora Rica, sintiéndose aún más parte de una empresa de tradición dominicana.
¿Por qué no se emiten acciones directamente sino a través de un fideicomiso?
Actualmente existen algunas implicaciones establecidas en el marco regulatorio que presentan ciertas trabas a la emisión de acciones en el mercado de valores por parte de las empresas. Entendemos que este mecanismo de un fideicomiso, cuyo activo subyacente son acciones comunes, mitiga las implicaciones tanto para el inversionista como para las empresas. Es, en cualquier caso, un paso histórico en el desarrollo de nuestro mercado de capitales.
¿De cuánto es la inversión mínima?
Esta es una estupenda ocasión para que los inversionistas particulares acudan al mercado de valores, ya que este instrumento de inversión profundiza y amplía la oferta actual existente. Adicionalmente, la inversión mínima en el mercado primario será de 10 valores de fideicomiso. El primer día de colocación esa inversión mínima será equivalente a RD$ 1,000.00; a partir del día siguiente, esta cifra dependerá de la valoración del patrimonio del fideicomiso.
¿La colocación se hace en tramos o de una sola vez?
La emisión tendrá distintas ampliaciones o tramos. El fideicomiso tendrá hasta tres años para colocarse.
¿Por qué el Grupo Rica escogió a Popular y CCI como colocadores de la emisión? ¿Cómo se conformó el equipo?
Este es un claro ejemplo de cómo la colaboración entre las partes logra hitos en el desarrollo de nuestro mercado de instrumentos de inversión. En ese sentido, Inversiones Popular se apoyó en la asesoría del equipo de Banca de Inversión de Banco Popular para estructurar el fideicomiso y la emisión. Pasteurizadora Rica ha contratado a Fiduciaria Universal como administrador del fideicomiso por su experiencia en el mercado; en tanto cuenta como colocadores a CCI Puesto de Bolsa, que funge también como asesor, y a Inversiones Popular, lo cual ha resultado en un provechoso proceso de trabajo en equipo.
